Terms of Service

By engaging Outset Solutions for any project, you agree to these terms. If something isn't clear, email us before we start — we'd rather sort it upfront than after.
1. About us
Outset Solutions is a web development business operated by Don Aukino, based in Auckland, New Zealand. We build subscription platforms, registration systems, and business websites for clients in New Zealand, Australia, and the United States.
2. Services
We provide custom web development services including but not limited to:
- Subscription and membership platforms
- Online registration and payment systems
- Business websites
- Ongoing platform maintenance and hosting support
The specific scope of work for each project is agreed in writing (via email or a signed agreement) before work begins.
3. Quotes and payment
- Pricing varies by market. All invoices are issued in NZD unless otherwise agreed in writing
- A startup fee covers the design and build of your platform. This is quoted per project based on scope
- A monthly platform fee applies for ongoing hosting, maintenance, and support
- Payment terms are specified in your project agreement. Work does not begin until an initial payment is received
- Late payments may result in your platform being suspended until the outstanding balance is settled
4. Intellectual property
- Upon receipt of full payment, you own the final deliverables built for your project
- Outset Solutions retains the right to showcase completed work in our portfolio, on our website, and in marketing materials unless you request otherwise in writing
- Any third-party tools, libraries, or frameworks used remain subject to their own licences
- Work in progress remains the property of Outset Solutions until full payment is received
5. Client responsibilities
You agree to:
- Provide accurate information, content, and access credentials needed to complete your project
- Review and provide feedback within agreed timeframes. Delays caused by the client may affect delivery dates
- Ensure any content, images, or materials you provide do not infringe third-party rights
- Use the platform we build in compliance with all applicable laws
6. Cancellation
- Monthly services: Either party may cancel with 30 days written notice. You remain liable for fees during the notice period
- Project work: If you cancel a project in progress, you are liable for work completed to date. Startup fees are non-refundable once work has begun
- Outset Solutions reserves the right to terminate services if payment obligations are not met or if the client acts in breach of these terms
7. Limitation of liability
Outset Solutions provides services in good faith and to the best of our ability. To the fullest extent permitted by law:
- We are not liable for indirect, incidental, or consequential losses arising from the use of platforms we build
- Our total liability to you for any claim shall not exceed the total fees paid to us in the 3 months preceding the claim
- We are not responsible for third-party service outages (payment processors, hosting providers, etc.)
8. Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the course of a project. This does not apply to information that is publicly available or independently developed.
9. Governing law
These terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of the courts of New Zealand. For clients in Australia or the United States, we will make reasonable efforts to resolve disputes informally before any formal proceedings.
10. Changes to these terms
We may update these terms from time to time. Existing clients will be notified by email of any material changes. Continued use of our services after changes constitutes acceptance of the updated terms.
